1. Acceptance of Terms
These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Ceivis LLC, a Missouri limited liability company ("Ceivis," "Digipae," "we," "us," or "our"), governing your access to and use of the Digipae mobile application, websites, business dashboard, APIs, and related services (the "Service").
By downloading, installing, accessing, or using Digipae, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of a business, you also agree to our Merchant Terms, and you represent that you are authorized to bind that business. If you do not agree, do not use the Service.
2. Electronic Communications & E-SIGN Consent
By using the Service, you consent under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) to receive all agreements, disclosures, notices, receipts, statements, and other communications ("Communications") in electronic form, delivered via the app, email, SMS, or by posting on our website.
2.1 Hardware & Software Requirements
To access electronic Communications, you need a compatible mobile device or computer, internet access, a current operating system and browser, a valid email address, and the ability to view and store PDF documents.
2.2 Withdrawing Consent
You may withdraw consent to receive electronic Communications by contacting support@digipae.com; however, because the Service is provided electronically, withdrawal of consent will result in closure of your account. You may request paper copies of specific disclosures by contacting support, which may be subject to a reasonable fee where permitted.
3. Eligibility
To use Digipae, you must:
- Be at least 18 years of age
- Be a legal resident or citizen of the United States with a valid U.S. residential address
- Have a valid U.S. mobile phone number
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable law
- Not be located in, or a national or resident of, any country or region subject to U.S. comprehensive sanctions administered by OFAC
- Not appear on the OFAC Specially Designated Nationals (SDN) list or any other applicable sanctions or prohibited-persons list
By using the Service, you represent and warrant that you meet all eligibility requirements. We may suspend or terminate your account if we determine you do not.
4. Account Registration & Security
4.1 Registration
You must create an account with a valid U.S. mobile number and complete identity verification. You agree to provide accurate, current, and complete information and to keep it updated.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your PIN, passcode, and credentials
- All activity that occurs under your account
- Immediately notifying us of unauthorized use at security@digipae.com
- Logging out after each session on shared devices
4.3 One Account Per Person
You may maintain only one active personal Digipae account. Creating multiple accounts is prohibited and may result in termination of all associated accounts.
4.4 We Will Never Ask For Your PIN
Never share your PIN, one-time passcodes, or credentials with anyone, including people claiming to be Digipae employees. We will never ask for them.
5. Services Provided
5.1 Core Services
Digipae provides the following financial services, subject to eligibility and verification:
- Digital Wallet: Hold a stored-value balance for use within the Service
- Wallet Top-Up: Add funds via debit/credit card (Stripe) or linked bank account (Plaid/ACH)
- Peer-to-Peer Transfers: Send money to other Digipae users by phone number
- Merchant Payments: Pay participating merchants via QR code
- Payment Requests & Split Bill: Request and split amounts among users
- Payment Links: Personal payment link (digipae.com/pay/username)
- Identity Vault: Store and present verified identity documents
- Bill Pay: Pay participating bills (where enabled)
5.2 Service Availability
We strive for high availability but do not guarantee uninterrupted service. We may suspend the Service for maintenance, upgrades, or in response to security or legal concerns. We are not liable for losses resulting from service interruptions except as required by law.
5.3 Changes to the Service
We may add, modify, or discontinue features at any time. Material changes affecting your financial rights will be communicated in accordance with Section 26.
6. Money Transmission & Licensing
Ceivis LLC is registered with the U.S. Department of the Treasury Financial Crimes Enforcement Network (FinCEN) as a money services business (MSB) (Registration No. 31000325661277). Money transmission services within the Digipae platform are provided through Stripe, Inc. and its licensed banking partners, who hold the applicable state money-transmitter licenses and are responsible for the regulated transmission of funds. Ceivis LLC is a platform operator that initiates and instructs transactions on your behalf through Stripe's licensed rails.
6.1 Stripe Services
By using the Service, you also agree to the Stripe Connected Account Agreement and the Stripe Services Agreement, as applicable. Stripe's privacy policy governs Stripe's handling of your payment data. Bank-account connectivity is provided through Plaid (see Section 9).
6.2 Complaints
If you have a complaint about a payment or money transmission, contact us first at support@digipae.com. If unresolved, you may contact Stripe at support.stripe.com or your state's financial regulator.
7. Wallet Funds & Safeguarding
Funds held in your Digipae wallet are not a bank deposit and do not earn interest. Digipae is not a bank. Your funds are safeguarded in accordance with applicable state money-transmission law, which may include holding customer funds in dedicated custodial or settlement accounts and/or permissible investments, separate from our operating funds.
Unless and except to the extent funds are held at a partner bank under a pass-through arrangement that qualifies for FDIC deposit insurance (and then only subject to that bank's records and applicable conditions), wallet balances are not FDIC-insured. You should not use Digipae as a primary savings or investment vehicle.
8. Payment Terms & Fees
8.1 Fee Schedule
- Peer-to-peer transfers: Free
- Merchant QR payments: Free for consumers
- Bill payments: $1.00 flat fee per transaction
- Wallet top-up via card: Stripe processing fees may apply and will be disclosed before you confirm
- Other fees, if any, are disclosed in-app before you authorize the transaction
We may change fees with at least 30 days' advance notice for existing features.
8.2 Authorization & Finality
You authorize us to debit your wallet, linked card, or linked bank account for the transactions you initiate and the applicable fees. Completed transfers are generally final and non-reversible. Send money only to people and businesses you trust — we cannot guarantee recovery of funds sent in error or as a result of a scam.
8.3 Transaction Limits
- New accounts may have lower limits during an initial review period
- Verified-account limits are based on your verification level and risk profile
- All transactions are subject to real-time balance and risk checks
8.4 Refunds & Disputes (Contractual)
To request a refund or dispute a transaction on contractual grounds, contact support@digipae.com with your transaction reference and reason. This is separate from your statutory error-resolution rights under Regulation E (Section 10), which always apply to covered transactions.
9. Bank Linking & ACH Authorization
You may link a bank account using Plaid. By linking an account, you authorize Plaid to access your account information from your financial institution on your behalf, as described in our Privacy Policy and Plaid's end-user privacy policy.
9.1 ACH Debit/Credit Authorization
By linking a bank account and initiating a transfer, you authorize Digipae (and its processing partners) to initiate electronic debit and credit entries (ACH transfers) to and from your linked account for the amounts you authorize and any applicable fees, returns, or adjustments. For any recurring or scheduled transfer, this authorization remains in effect until you cancel it by removing the linked account or contacting support, giving us reasonable time to act.
9.2 Insufficient Funds & Returns
If a bank transfer is returned, reversed, or fails (for example, for insufficient funds), you authorize us to re-present the entry as permitted by NACHA rules and to recover the amount, including from your wallet balance or other linked funding sources. You are responsible for resulting negative balances (Section 7 and Merchant Terms).
10. Your Rights Under Regulation E (Electronic Fund Transfers)
This section describes your rights under the federal Electronic Fund Transfer Act and Regulation E for electronic fund transfers (EFTs) to and from your account.
10.1 Liability for Unauthorized Transfers
Tell us AT ONCE if you believe your credentials have been lost or stolen, or that an unauthorized transfer has occurred. Telephoning or messaging us promptly is the best way to keep your losses down.
- If you notify us within 2 business days of learning of the loss or theft, you can lose no more than $50.
- If you do NOT notify us within 2 business days and we can show we could have stopped the unauthorized transfer had you told us, you could lose as much as $500.
- If your statement or transaction history shows transfers you did not make, tell us at once. If you do not tell us within 60 days after the information was made available, you may not get back money you lost after the 60 days if we can show we could have stopped the transfers had you told us in time.
10.2 Error Resolution Procedures
In case of errors or questions about your electronic transfers, contact us at support@digipae.com or by mail at the address in Section 27 as soon as you can. We must hear from you no later than 60 days after the first statement or history on which the problem appeared. Please tell us: (1) your name and account information; (2) a description of the error and why you believe it is an error; and (3) the dollar amount.
- We will investigate and tell you the results within 10 business days and correct any error promptly.
- If we need more time, we may take up to 45 days (90 days for new accounts, point-of-sale, or foreign-initiated transfers) and will provisionally credit your account where required so you have use of the funds during the investigation.
- If we decide there was no error, we will send you a written explanation, and you may request copies of the documents we used.
11. Identity Verification (KYC/AML)
Digipae must comply with federal Know-Your-Customer (KYC) and Anti-Money-Laundering (AML) requirements under the Bank Secrecy Act. By using the Service, you agree to:
- Provide accurate identity information, including a government-issued ID and date of birth
- Complete identity verification, including a selfie/biometric check (see Privacy Policy Section 3), before making financial transactions
- Update your information if it changes
- Allow verification with third-party providers (Socure) and screening against OFAC and other watchlists
- Provide additional information or documentation we reasonably request to meet our compliance obligations
12. Prohibited Uses
You agree not to use Digipae for:
- Illegal activity, including money laundering, tax evasion, or financing terrorism
- Transactions involving illegal goods or services (e.g., illegal drugs, weapons, human trafficking)
- Fraud, identity theft, or impersonation
- Unlawful gambling, lotteries, or games of chance
- Adult content, escort, or sexually explicit services
- Pyramid, Ponzi, or deceptive multi-level marketing schemes
- Transactions with sanctioned countries, regions, or persons
- Circumventing transaction limits or verification requirements
- Reverse engineering, scraping, hacking, or compromising the Service
- Using bots, scripts, or automated means except through our authorized APIs
- Any activity violating applicable federal, state, or local law
Violations may result in immediate suspension or termination, holds on funds (subject to legal requirements), reversal of transactions, and referral to law enforcement.
13. Inactivity & Unclaimed Property
If your account becomes inactive and holds a balance, applicable state unclaimed-property (escheat) laws may require us to remit your funds to the state after a dormancy period. We will attempt to notify you at your registered contact information before doing so. You may avoid escheatment by keeping your account active or by withdrawing your balance. After funds are remitted to a state, you must claim them from that state.
14. Taxes & Tax Reporting
You are solely responsible for determining and paying any taxes that apply to your transactions. Where required by law, we (or our processing partners) will report qualifying transactions to the IRS and applicable state authorities and may issue tax forms such as Form 1099-K. We may require a valid taxpayer identification number (TIN) and may apply backup withholding or restrict your account if required information is not provided. We do not provide tax advice.
15. Intellectual Property
The Service and its content — including text, graphics, logos, icons, images, software, and the "Digipae" name and branding — are owned by Ceivis LLC and protected by U.S. and international intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use (or, for merchants, as permitted by the Merchant Terms) in accordance with these Terms.
15.1 Feedback
If you submit ideas or feedback, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use it without restriction or compensation to you.
15.2 Copyright (DMCA)
If you believe content on the Service infringes your copyright, send a notice with the information required by the DMCA (17 U.S.C. § 512) to legal@digipae.com. We may remove infringing content and terminate repeat infringers.
16. App Store Terms (Apple & Google)
The following applies when you obtain the app through the Apple App Store:
- These Terms are between you and Ceivis LLC only, not with Apple. Apple is not responsible for the app or its content.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- Apple is not responsible for addressing any claims by you or a third party relating to the app, including product-liability, legal/regulatory, and consumer-protection claims.
- Apple is not responsible for investigating, defending, settling, or discharging any third-party claim that the app infringes intellectual-property rights.
- You represent that you are not located in a U.S.-embargoed country or on a U.S. prohibited-parties list.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
When you obtain the app through Google Play, you also agree to the Google Play Terms of Service, and the equivalent acknowledgments apply to Google as applicable.
17. Third-Party Services
The Service relies on third parties (including Stripe, Plaid, Socure, and Google/Firebase) and may link to third-party content. We are not responsible for third-party services or content, and your use of them may be subject to their own terms and privacy policies. Your dealings with merchants and other users are solely between you and them.
18. Termination & Suspension
18.1 Termination by You
You may close your account at any time through Profile → Settings → Delete Account or by contacting support@digipae.com. Pending transactions are processed before closure, and your remaining balance is returned to a verified funding source where possible, subject to holds required for risk or legal reasons.
18.2 Suspension or Termination by Us
We may suspend or terminate your account, or hold funds, immediately if:
- You violate these Terms or applicable law
- We suspect fraud, money laundering, or other prohibited activity
- Required by law, regulator, or court order
- You fail to complete required identity verification
- Your account poses a risk to other users, partners, or the Service
18.3 Effect of Termination
On termination, your right to use the Service ends immediately. Provisions that by their nature should survive — including Sections 7, 14, 15, 19, 20, 21, 22, 23, 24, and 25 — survive termination.
19. Disclaimers
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that results will be accurate or reliable.
Digipae facilitates payments as a licensed money transmitter; it does not provide banking, deposit, lending, investment, or financial-planning services, and nothing in the Service is financial or investment advice.
20. Limitation of Liability
Our total liability for any claim shall not exceed the greater of:
- The amount of fees you paid us in the 12 months preceding the claim, or
- $100 USD
Nothing in these Terms limits liability that cannot be limited by law, including your rights under Regulation E (Section 10).
21. Indemnification
You agree to indemnify, defend, and hold harmless Ceivis LLC and its officers, directors, employees, agents, partners, and successors from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms
- Your use of the Service
- Your violation of any third-party rights
- Any content you submit or transmit
- Your violation of any applicable law or regulation
22. Governing Law
These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 24.
To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in St. Louis County, Missouri.
23. Dispute Resolution (Informal First)
Before starting an arbitration or lawsuit, you agree to first contact us at legal@digipae.com and give us 30 days to resolve the dispute informally. Most concerns can be resolved this way.
24. Arbitration Agreement & Class Action Waiver
24.1 Binding Arbitration
Except as provided below, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this section.
24.2 Exceptions
The following are NOT subject to arbitration:
- Claims for injunctive or equitable relief to protect intellectual-property rights
- Claims that may be brought in small-claims court
- Claims where immediate legal relief is needed for unauthorized access or fraud
24.3 Class Action Waiver
YOU AND CEIVIS WAIVE THE RIGHT TO PARTICIPATE IN CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS. All disputes must be brought in an individual capacity.
24.4 30-Day Opt-Out
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@digipae.com with subject "Arbitration Opt-Out" and your account details. Opting out does not affect any other part of these Terms.
25. General Provisions
- Entire Agreement: These Terms, the Privacy Policy, and (for merchants) the Merchant Terms are the entire agreement between you and us and supersede prior agreements.
- Severability: If any provision is unenforceable, the rest remains in effect.
- No Waiver: Our failure to enforce a provision is not a waiver of it.
- Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices: We may provide notices via the app, email, or SMS; you may contact us as set out in Section 27.
- Headings: Section headings are for convenience only.
26. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via:
- In-app notification
- Email to your registered address
- Updating the "Last updated" date on this page
For material changes affecting your financial rights, we will provide at least 30 days' advance notice. Continued use after changes take effect constitutes acceptance.
